Terms of Service

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Lucid Dream Software, Inc., an Illinois corporation (“Company,” “we,” “us,” or “our”). These Terms govern your access to and use of the SmartSupplySystem platform, including the website located at sss.luciddream.com, all associated APIs, MCP server connections, tools, documentation, and related services (collectively, the “Service”).

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.

If you do not agree to these Terms, you must not use the Service.

2. Eligibility

The Service is intended for business use by printer original equipment manufacturers (OEMs), consumable suppliers, and their authorized representatives. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration and Security

To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys issued to you. You agree to notify us immediately at david@luciddream.com if you become aware of any unauthorized use of your account or any other breach of security.

You are responsible for all activity that occurs under your account, whether or not authorized by you. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised.

4. API Keys and MCP Server Access

The Service may issue API keys that allow you to connect to the SmartSupplySystem MCP server from third-party AI clients. API keys are confidential credentials equivalent to your account password. You must not share, publish, or embed API keys in client-side code, public repositories, or any location accessible to unauthorized parties. You are fully responsible for all actions taken using your API keys. We may revoke any API key at any time if we reasonably believe it has been compromised or misused.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
• Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service;
• Interfere with or disrupt the integrity or performance of the Service, including through denial-of-service attacks, injection of malicious code, or excessive automated requests;
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service;
• Use the Service to create, distribute, or facilitate counterfeit consumable products or to circumvent consumable authentication mechanisms;
• Scrape, harvest, or collect data from the Service by automated means except as expressly permitted through the provided APIs;
• Sublicense, resell, or redistribute the Service or any portion thereof without our prior written consent;
• Misrepresent your identity or affiliation with any person or entity when using the Service.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this section.

6. Intellectual Property

6.1 Company IP

The Service, including its software, architecture, user interface, design, compilation processes, blockchain integration methods, AI-assisted tooling, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of Lucid Dream Software, Inc. The technology underlying the Service is the subject of a pending patent application. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

6.2 Your Data

You retain all ownership rights in the product definitions, templates, field data, organizational information, and other content that you create or upload to the Service (“User Data”). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display your User Data solely as necessary to provide and improve the Service. This license terminates when you delete your User Data or your account, except as required to comply with legal obligations or as otherwise set forth in these Terms.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose, including improving the Service, without any obligation or compensation to you.

7. Blockchain-Specific Provisions

7.1 Irreversibility of Blockchain Transactions

The Service compiles product definitions into tokens on the Solana blockchain. Once a compilation transaction has been confirmed on the blockchain, it is permanent and cannot be reversed, modified, or deleted by us or any third party. You acknowledge and accept that blockchain transactions are inherently irreversible. It is your responsibility to review and verify all data before initiating a compilation. We shall not be liable for any errors, omissions, or unintended results arising from confirmed blockchain transactions.

7.2 Development Network (Devnet) Operations

The Service currently operates on the Solana development network (“devnet”). Tokens created on devnet have no monetary value and exist for testing, demonstration, and pilot purposes only. Devnet data may be reset or cleared by the Solana Foundation at any time without notice. We make no guarantees regarding the persistence or availability of devnet data.

7.3 Transition to Mainnet

When the Service transitions to the Solana mainnet or any other production blockchain network, additional terms may apply, including terms related to transaction fees, token custody, and network-specific risks. We will provide reasonable advance notice of any mainnet transition and the corresponding terms. Your continued use of the Service following such transition constitutes acceptance of the updated terms.

7.4 Wallet Responsibility

You are responsible for the security and management of any blockchain wallet credentials associated with your account. Lost wallet credentials may result in permanent loss of access to associated on-chain data. We do not provide wallet recovery services.

8. Early Access and Pilot Program

The Service is currently in an early-access pilot phase. During this phase, features may be added, modified, or removed without prior notice. Service availability may be interrupted for maintenance, updates, or unforeseen issues. While we strive to maintain reliability, we do not guarantee uninterrupted access or backward compatibility during the pilot phase. Pilot participants may be subject to additional terms as specified in their individual pilot agreements.

9. Warranty Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Service will be accurate or reliable; (d) any AI-generated content, suggestions, or compilations produced by the Service will be free of errors; or (e) any defects in the Service will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Lucid Dream Software, Inc., its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the amounts you have paid to us in the twelve (12) months preceding the claim; or (b) one hundred United States dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lucid Dream Software, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any User Data you submit through the Service; or (e) any blockchain transactions initiated through your account.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at david@luciddream.com or through the account settings page.

Upon termination: (a) your right to access the Service will immediately cease; (b) all API keys associated with your account will be revoked; (c) we may, but are not obligated to, delete your User Data after a reasonable retention period; and (d) any tokens already compiled to the blockchain will remain on-chain, as blockchain records cannot be removed by us or any party.

Sections 6 (Intellectual Property), 7.1 (Irreversibility), 9 (Warranty Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 15 (General Provisions) shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Illinois, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at david@luciddream.com. We will attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved informally, either party may proceed with formal legal action.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by posting the updated Terms on this page with a revised effective date, and where practicable, by notifying you via email or through the Service. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. General Provisions

15.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements entered into in connection with a pilot program, constitute the entire agreement between you and Lucid Dream Software, Inc. regarding the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the Company to be effective.

15.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, government actions, internet or telecommunications failures, third-party service provider outages, or blockchain network disruptions.

15.6 Notices

Notices to the Company should be sent to david@luciddream.com. Notices to you will be sent to the email address associated with your account. Notices are deemed received when delivered by email, as confirmed by the sending system.
